What you will do

• Advise on the offering and operation of proprietary ETFs and serve as the day-to-day legal contact for capital markets activities.
• Support ETF listings, negotiate authorized participant and service provider agreements, and review ETF compliance policies and procedures.
• Advise the portfolio management group on U.S. and international law, client and counterparty contracts, risk management, and implementation of portfolio initiatives.
• Review fund and investment adviser compliance programs, including the 38a-1 and 206(4)-7 programs.
• Analyze substantial shareholder filings and corporate action elections, and prepare materials for internal, committee, and board meetings.
• Coordinate and oversee outside counsel while managing service quality and costs.

Requirements

• 4–10 years of experience at a top-tier law firm or in-house with an ETF, fund, investment adviser, financial intermediary, or securities-regulation business.
• Knowledge of ETF structure and operation, portfolio management processes, and federal securities laws, including the Investment Company Act of 1940 and Investment Advisers Act of 1940.
• JD from a top law school and membership in a U.S. state bar.
• Strong written and verbal communication skills, with the ability to translate complex legal concepts into practical advice.
• Ability to manage multiple projects, adapt to changing priorities, meet deadlines, and work effectively both independently and collaboratively.
• Technical fluency with Microsoft Office Suite, e-billing, legal document repositories, legal research tools, and other legal technology.
