What you will do

• Design and optimize legal operations using AI tools like Claude and ChatGPT to automate recurring tasks and build scalable playbooks.
• Manage corporate records, minute books, and coordinate board and shareholder resolutions for a large portfolio of companies.
• Support the formation, registration, and maintenance of legal entities across global jurisdictions.
• Administer equity records, share registers, and cap tables using Computershare and Carta.
• Assist with M&A post-acquisition integration, entity restructuring, and preparation of closing document packages.
• Coordinate corporate insurance programs and maintain an intellectual property database across portfolio companies.

Requirements

• 3-5 years of experience as a corporate clerk or paralegal, ideally within private equity, venture capital, or a holding company.
• Strong knowledge of North American corporate law and global entity lifecycle administration.
• Must be based in Toronto, Canada to support the hybrid work model.
• Proficiency with equity administration platforms such as Computershare or Carta.
• A builder's mindset toward AI with daily usage of Claude and ChatGPT for process improvement.
• Paralegal certificate or Law Clerk designation (Ontario ILCO or equivalent) preferred.
