What you will do
- Draft, negotiate, and advise on M&A transactions including acquisitions, acqui-hires, and growth projects worldwide.
- Participate in all stages: deal structuring, due diligence, negotiations, signing, and closing.
- Lead legal due diligence, identifying risks across corporate, IP, employment, and regulatory workstreams.
- Draft and negotiate documents like LOIs, NDAs, SPAs, shareholders' agreements, earn-outs, and post-closing arrangements.
- Collaborate with cross-functional teams and build internal M&A templates and guidelines.
- Support corporate compliance matters including labor law and insurances.
Requirements
- LLB, LLM, or Juris Doctor from accredited law school in France or EU; admission to practice law, preferably USA
- 5-8 years relevant experience, min 4 years in international law firm
- Strong hands-on experience leading mid-to-large M&A from due diligence to closing
- Familiarity with VC-PE transactions: shareholders' agreements, liquidation preferences, incentives
- Cross-border M&A experience, coordinating multi-jurisdictional deals
- Excellent English and French communication
- AI knowledge including machine learning and NLP; ethical AI awareness
