TL;DR

In-House Counsel (Bitcoin/Compute): Building and managing the full-spectrum in-house legal function from scratch with an accent on commercial contracts, corporate governance, regulatory compliance, and AI-augmented operations. Focus on structuring high-stakes agreements for hardware trading, compute offtake, digital assets, and capital markets while leveraging AI for contract review, risk assessment, and scalable processes.

US, Remote. Must be fully admitted to at least one U.S. state bar and authorized to practice law at the time of hire.

What you will do

• Structure, draft, review, negotiate, and manage commercial agreements including hardware sales, compute offtake, NDAs, licensing, and terms of service.
• Build contract playbooks and use AI for first-pass reviews, risk triage, and playbook enforcement.
• Handle corporate governance: board resolutions, equity transactions, cap table management, and AI-queryable knowledge bases.
• Design AI-powered workflows for contract analysis, document assembly, compliance screening, and obligation management.
• Monitor regulatory developments in Bitcoin mining, digital assets, compute infrastructure, and energy markets; manage OFAC screening and data privacy compliance.
• Manage litigation, disputes, and outside counsel relationships.

Requirements

• Fully admitted to at least one U.S. state bar and authorized to practice law.
• At least one year of experience in the legal industry.
• Experience with commercial contracts, corporate governance, regulatory compliance, and transactions.
• Ability to leverage AI tools like Claude and LLMs for legal operations.
• Knowledge of Bitcoin mining, digital assets, compute infrastructure, and energy markets.
