What you will do

• Manage corporate governance in international jurisdictions: board meetings, composition, statutory registers, annual returns, and board guidance.
• Collaborate with executives, legal, tax, HR, treasury, compliance, and finance on governance, structuring, compliance, and securities matters.
• Build out corporate legal team processes, playbooks, and org structure.
• Support compliance, finance, and risk with board-required policies.
• Assist corporate development including M&A and strategic partnerships.
• Handle international subsidiary creation, registration, management, and regulatory compliance.

Requirements

• 3+ years dedicated experience supporting boards and governance: statutory obligations, composition, meetings, best practices
• 6+ years overall corporate/companies law experience in regulated industry, in-house and/or law firm
• Admitted to practice law in any jurisdiction
• Interest in crypto industry
• Strong analytical, writing, and organizational skills
• Team-oriented, proactive, entrepreneurial mindset using law to expand company optionality

Nice to have

• Experience with subsidiary governance in international/multi-jurisdictional structures
• Experience supporting subsidiaries in regulated industries like banking, payments, crypto, or fintech
• Interacting with regulators: FCA, CBI, MAS, VARA
• Banking experience
• Experience with regulated financial services firms
• Both in-house and law firm experience
