Legal Counsel – Investment Legal, Private Funds Formation (Hong Kong Based)

TL;DR

Legal Counsel (Private Funds Formation): Provide high quality legal support to hirify.global's private markets funds business in Asia Pacific, including structuring, forming, launching and maintaining real estate and alternative investment funds with an accent on fund documentation, regulatory compliance and cross-border structures. Focus on drafting and negotiating agreements, advising on global regulatory developments and coordinating with stakeholders and external counsel.

Location: Hong Kong based, hybrid work schedule (office at least four days a week)

What you will do

• Work closely with investment teams to structure, form, launch and maintain real estate and alternative investment funds.
• Draft, review and negotiate fund documentation including private placement memoranda, limited partnership agreements, subscription agreements and side letters.
• Advise on global regulatory developments impacting private markets business.
• Provide legal advice on fund formation, governance, operations, distribution, marketing and investor relations.
• Coordinate with and manage external legal counsel, tax advisors and regulatory consultants.
• Stay current on industry trends, regulations and best practices in private markets fund formation.

Requirements

• 6+ years of experience in investment management, with emphasis on real estate or private equity fund formation
• Strong understanding of alternative investment fund structures and related legal issues
• Familiarity with international fund structures and cross-border offerings preferred
• Proven track record of forming, launching and managing complex alternative investment funds
• Excellent drafting, negotiation and communication skills
• Full professional proficiency in English; ability to work in Mandarin or Cantonese advantageous

Nice to have

• Previous experience at a national law firm or as in-house counsel at a leading asset manager
• Experience drafting and negotiating joint venture agreements and strategic investment documents
