Salary: $200,000 – $240,000

What you will do

• Negotiate agreements with counterparties including distributors, service providers, fund managers, BDCs, and other closed-end funds.
• Draft and review registered fund offering materials and legal documentation for private funds, UITs, and ETFs.
• Advise on the legal implications of offering new and existing investment products.
• Ensure substantive compliance with the 1933 and 1940 Acts, as well as SEC and FINRA regulations.
• Coordinate with outside legal counsel on regulatory, corporate, and fund investment matters.
• Collaborate with Legal and Compliance teams on product and regulatory issues.

Requirements

• 4-5+ years of fund formation experience within the registered fund or mutual fund space.
• Strong knowledge of the 1933 Act, 1940 Act, and Forms N-1A and N-2.
• Member in good standing of the Utah Bar or another state or jurisdiction.
• Must be based in New York, NY to comply with the hybrid office schedule.

Nice to have

• Experience at a law firm or in-house at an asset management firm.
• Knowledge of the 1934 Act, Commodity Exchange Act, and NFA Rules.
• Experience working with UITs and ETFs.
