Senior Legal Counsel (CST/EST)

TL;DR

Senior Legal Counsel (Legal/M&A): Handling commercial negotiations with strategic partners, supporting M&A, and advising on complex legal matters with an accent on commercial agreements, data privacy, and litigation. Focus on managing legal risks, fostering stakeholder relationships, and scaling legal support in a high-growth technology company.

Location: Remote in the Central or Eastern Time Zone United States. This role would cover activities in North America primarily, with support in EMEA and APAC as needed.

What you will do

• Draft and negotiate commercial agreements, including strategic, partner, license, SaaS, professional service, data processing, and vendor contracts.
• Lead legal support for mergers and acquisitions, including post-close integration.
• Assist in handling collections and litigation matters, working with Finance and Collections teams.
• Develop legal resources such as templates, playbooks, policies, and training materials.
• Handle day-to-day legal inquiries and ad hoc legal matters, including corporate entity support, risk assessments, compliance documentation, and data privacy reviews.

Requirements

• Juris Doctorate required.
• 8-12 years substantive experience in providing legal advice in an international corporate environment.
• Previous M&A experience.
• Highly skilled and experienced in supporting a sales team in a technology company, SaaS experience preferred.
• Commercial mindset, with the ability to work with cross-functional departments while managing risk appropriately.
• Detail-oriented with an ability to organize and work across multiple projects and time zones.
• Must be self-driven, resourceful, results and deadline oriented, and possess high multi-task proficiency.
• Ability to work both independently and as part of a team in a fast-paced, changing business environment.
• English proficiency required.
