Commercial Contracts Counsel (AI)

Location: Fully remote from Costa Rica; occasional travel to the U.S. for team meetings or contract negotiations.

What you will do

• Partner with U.S.-based Commercial Contracts and Legal teams to facilitate contract review, negotiation, approval, and execution.
• Draft, review, redline, negotiate, and manage commercial agreements from initial intake through execution.
• Provide practical, business-oriented guidance on contract terms, obligations, risks, policies, templates, approval requirements, negotiation positions, and escalation procedures.
• Ensure agreements comply with company policies, contracting standards, approval requirements, and legal and commercial plans.
• Support contract lifecycle management, including intake, approvals, repository management, renewals, expiration tracking, and accurate contract records.
• Use legal technology and approved AI-enabled contract review tools to improve contracting efficiency and quality, and support other commercial contracts and legal projects.

Requirements

• Licenciatura en Derecho from a recognized Costa Rican university and current good standing with the Colegio de Abogados y Abogadas de Costa Rica.
• 3–5 or more years of experience reviewing, redlining, and negotiating agreements.
• At least 1 year of experience supporting U.S.-based organizations and partners and negotiating contracts governed by U.S. law.
• At least 3 years of experience with contractual concepts including liability, indemnification, warranties, termination, and data security.
• Experience negotiating agreements involving data and AI use cases.
• Maintain all professional credentials required to practice law in Costa Rica.
• Ability to travel occasionally to the U.S. for team meetings or contract negotiations.
