Paralegal, Contract Manager

Location: Remote; U.S. residents only

Total compensation hiring wage range: $115,000–$135,000 annually, with potential bonus and equity participation.

What you will do

• Review and redline NDAs, order forms, SOWs, amendments, vendor agreements, and routine customer and partner contracts using approved playbooks and fallback language.
• Prepare agreements from templates, manage version control and approvals, and drive documents through signature.
• Administer the contract lifecycle management system, including workflows, templates, approval routing, e-signature, repository organization, and data integrity.
• Triage legal requests, track contract dates and obligations, maintain templates and playbooks, and build reporting on volumes, turnaround times, and bottlenecks.
• Review outside counsel invoices, track legal spend, support budgets and forecasts, and maintain engagement and matter records.
• Support diligence, trade compliance screening, corporate records, audits, transactions, and other legal operations projects.

Requirements

• 5+ years of experience as a paralegal, contract manager, or legal operations professional in a law firm, in-house legal department, or technology company, including substantial hands-on commercial contract review and redlining.
• Strong working knowledge of confidentiality, limitation of liability, indemnification, intellectual property, payment, and termination terms, with judgment to identify deviations from playbooks and escalate them to attorneys.
• Hands-on experience administering a contract lifecycle management platform, including workflows, templates, and reporting.
• Accurate, well-organized work under deadline pressure, including careful review of entity names, dates, and signature blocks.
• Clear writing and the ability to explain contract issues to non-lawyers in plain language.
• Bachelor's degree or equivalent practical experience.
• Sound judgment when handling sensitive and privileged information.

Nice to have

• ABA-approved paralegal certificate.
• Experience with SpotDraft or a comparable CLM platform, reporting, and automation.
• Experience in enterprise software, infrastructure, data storage, cloud, HPC, or AI.
• Familiarity with software licensing, SaaS, reseller, and hardware or appliance transactions.
• Experience with legal spend management, e-billing, or outside counsel invoice review.
• Familiarity with export controls, sanctions screening, or corporate entity maintenance.
• California Notary Public commission or willingness to obtain one.
