Corporate Counsel, Contracts (Biotechnology/Pharmaceutical)

Location: Alameda, CA, United States. This is an onsite office position and does not require travel.

Salary: $231,000–$292,500 base pay annually, plus discretionary annual bonus and long-term incentives.

What you will do

• Draft, review, negotiate, and manage confidentiality, collaboration, licensing, consulting, material transfer, clinical trial, clinical advisory board, vendor services, and manufacturing agreements.
• Support R&D stakeholders across Discovery and Biotherapeutics, Clinical Development and Clinical Operations, Medical Affairs, and Manufacturing.
• Review redlines, oversee negotiations, and provide practical legal and risk-based guidance to internal decision-makers.
• Maintain current form agreements consistent with industry standards and applicable laws.
• Build effective cross-functional relationships and help ensure business transactions are efficient and appropriately managed for legal and commercial risk.
• Provide guidance, mentorship, and review of work product for junior attorneys and contract managers.

Requirements

• JD degree and at least 3 years of relevant experience, or an equivalent combination of education and experience.
• Admission to practice law is required; California admission is preferred.
• Attorney experience in a law firm or in-house legal environment within the biotechnology or pharmaceutical industry.
• Significant experience drafting and negotiating complex contracts, including a high volume of agreements supporting a biotechnology or pharmaceutical company.
• Ability to independently draft, review, analyze, and negotiate complex agreements while balancing legal risk, business objectives, and organizational priorities.
• Ability to identify contractual issues, provide practical recommendations, and collaborate with cross-functional stakeholders.
• Clear, concise verbal and written communication and strong interpersonal skills.
• Strong computer skills, including Microsoft Office Suite, document management systems, and redlining software.
• Strong attention to detail, organization, judgment, prioritization, decision-making, reliability, and ability to work independently and in a team under deadlines.

Nice to have

• BS or BA degree, preferably in life sciences or a related field.
• Advanced life science degree.
• California bar admission.
