Principal Legal Counsel

Location: Denver, Colorado or Boston, Massachusetts; hybrid, with on-site work required at least 6 days per month.

Base salary: $160,000–$215,000 USD annually in Colorado or Massachusetts. Annual discretionary bonus and/or equity awards may also be available.

What you will do

• Support Investment Company Act of 1940 fund governance and registration matters for open-end and closed-end funds.
• Advise on investment adviser, mutual fund, ETF, and closed-end fund legal matters.
• Prepare and oversee SEC regulatory filings, including Form N-1A and Form N-2 registration statements.
• Prepare materials for ’40 Act fund board meetings, attend meetings, and draft minutes.
• Prepare and review advisory, transfer agency, and fund administration agreements.
• Provide legal administration services, collaborate with paralegal teams, monitor regulatory developments, and potentially supervise paralegals.

Requirements

• Juris Doctorate.
• 10+ years of experience at a law firm or financial services firm focused on Advisers Act and ’40 Act practice.
• Ability to manage multiple client matters simultaneously and work with little supervision.
• Advanced computer skills, including Microsoft Office applications such as Word, Excel, and PowerPoint.
• Excellent verbal and written communication skills, with a strong ability to communicate with internal and external clients.
• Willingness to work on site a minimum of 6 days per month.
