Director, Securities & Corporate Law

Location: Remote anywhere in the United States. Applicants must already be authorized to work in the United States; visa sponsorship or transfer is not available. Travel is estimated at up to 10%.

Base salary: $220,000–$235,000 per year, plus eligibility for a performance bonus and benefits.

What you will do

• Advise on SEC regulations, securities laws, NYSE requirements, and public company compliance.
• Prepare and review 10-K, 10-Q, 8-K, proxy, registration, and other SEC filings.
• Manage Section 16 compliance and advise on corporate governance, executive compensation, equity plans, and investor relations.
• Support annual shareholder meetings, including proxy materials and meeting logistics.
• Lead and support M&A, financing, capital markets, and other strategic transactions through due diligence, drafting, negotiation, and closing.
• Manage board materials, minutes, resolutions, corporate secretarial matters, and subsidiary administration.

Requirements

• Juris Doctor degree from an accredited law school.
• Active membership in good standing with at least one U.S. state bar.
• At least 3 years of relevant corporate legal experience, including experience at a top-tier law firm.
• Experience with SEC filings, corporate transactions, securities law, Delaware corporate law, and public company governance.
• Ability to provide practical legal advice to executive leaders and explain complex legal concepts to non-legal audiences.
• Current U.S. work authorization without present or future visa sponsorship.

Nice to have

• In-house legal experience supporting a public company.
• Experience with NYSE listing standards, Section 16 reporting, executive compensation, equity administration, and shareholder meetings.
• Experience supporting equity and debt offerings.
