IT M&A Transaction Manager

What you will do

• Lead IT workstreams for acquisitions, mergers, divestitures, and carve-outs from due diligence through Day 1 readiness, integration, separation, and TSA exit.
• Plan and conduct IT due diligence across infrastructure, enterprise applications, cybersecurity, regulatory compliance, contracts, and licensing.
• Assess deal risks, one-time costs, stranded costs, technical debt, and synergy opportunities to support business cases.
• Define target-state IT operating models and Day 1 readiness plans for identity and access, networks, cyber controls, and critical applications.
• Structure and manage Transition Service Agreements, including service scope, SLAs, pricing, governance, and exit criteria.
• Coordinate internal teams, external advisors, and vendors while managing RAID items, dependencies, budgets, and business continuity.

Requirements

• Proven experience managing the complete IT transaction lifecycle, including due diligence, Day 1 readiness, integration, separation, and TSA exit.
• Deep knowledge of cloud, infrastructure, networks, cybersecurity, and enterprise applications such as ERP, QMS, LIMS, CRM, and DMS.
• Strong financial modeling expertise covering standalone costs, stranded costs, synergy targets, technical debt, and TSA pricing.
• Hands-on experience with TSA or SSA service catalogs, SLAs, KPIs, vendor transitions, and exit strategies.
• Knowledge of cybersecurity, data integrity, and GxP/CSV standards in life sciences or CDMO environments.
• Strong matrix leadership, communication, project execution, RAID management, dependency tracking, budgeting, and executive reporting skills.
