Legal, Investment Banking Attorney, Vice President, New York City

Location: New York, NY, United States; onsite office role

Salary: USD 185,000–295,000 base salary annually, plus potential discretionary bonus

What you will do

• Advise the Investment Banking business unit on legal, policy, reputational, commercial, and transaction-related matters.
• Support securities, lending, financing, public and private offering, investment-grade and high-yield debt, bank loan, bridge loan, and structured finance transactions.
• Assist with M&A advisory assignments, including reviewing and negotiating engagement letters, preparing and reviewing fairness and other M&A opinions, and supporting related public disclosures.
• Provide legal counsel to the Fairness Committee and assess legal and reputational risks across transactions.
• Review and negotiate documents, coordinate with outside counsel, resolve policy and procedural issues, and collaborate with bankers, clients, regulators, and other internal teams.
• Support regulatory change initiatives, business practices, policy development, training, compliance programs, standard documentation, and new product development.

Requirements

• Lawyer with a minimum of five years of experience.
• Strong knowledge of securities, M&A, lending, and corporate finance law and practice.

Nice to have

• Knowledge of valuation methodologies, accounting, and/or corporate finance.
