Legal Counsel (Technology/M&A)

Location: Toronto, Ontario, Canada; flexible hybrid working model with in-person and virtual work supported.

Annual base salary: $160,000–$210,000 CAD.

What you will do

• Manage complex corporate and commercial agreements, including acquisitions, investments, divestitures, restructurings, and joint ventures.
• Support post-acquisition integration, corporate structuring, risk management, global expansion, and new market entry.
• Draft, review, and negotiate partnering, purchase, confidentiality, debt, licensing, vendor, and supply agreements.
• Advise resellers, customers, solution partners, OEMs, suppliers, governments, and other stakeholders on global transactions.
• Provide legal guidance for product design, development, implementation, electronic contracting, data privacy, AI, IoT, and emerging regulatory issues.
• Support corporate, commercial, human resources, and employment matters while developing technical knowledge of hirify.global products.

Requirements

• Bachelor’s degree and a post-secondary law degree or diploma, with a license to practice in Ontario.
• Member in good standing with the Law Society of Ontario.
• Broad corporate and M&A experience, particularly in technology transactions and global corporate and tax structuring.
• Experience with common and civil law jurisdictions and large multinational or regulated organizations, including government entities.
• Knowledge of telematics, data privacy, AI laws, applicable regulations, negotiation, conflict resolution, and relationship management.
• Strong analytical, project management, communication, organizational, and business skills, with the ability to manage multiple matters and work with senior stakeholders.
