Senior In-House Counsel (AI)

Location: Hybrid or remote from Santa Clara, CA; Boston, MA; Toronto, ON; or Austin, TX. Employment may be contingent on eligibility to access U.S. export-controlled technology.

What you will do

• Own the full lifecycle of complex commercial agreements, from intake and drafting through negotiation, execution, and ongoing management.
• Advise Leadership, Engineering, Product, Sales, Supply Chain, Finance, Security, IT, People, and Operations on legal, compliance, privacy, and risk matters.
• Draft and negotiate technology licenses, SaaS and cloud agreements, DPAs, AI addenda, hardware sales, channel, vendor, supplier, and marketing agreements.
• Support foundry, manufacturing, procurement, supply, logistics, and 3PL agreements.
• Advise on global data protection, cybersecurity, cross-border transfers, SCCs, security terms, audit rights, and incident notifications.
• Build scalable templates, playbooks, fallback positions, policies, and CLM workflows, including the use of AI tooling for legal operations.

Requirements

• JD degree and active state bar membership.
• At least 5 years of experience in a law firm or in-house legal department.
• Experience drafting, negotiating, executing, and managing complex commercial agreements across the full contract lifecycle.
• Experience with supply chain and manufacturing agreements; technology, semiconductor, hardware, chip manufacturing, or supplier experience is strongly preferred.
• Experience with global privacy, cybersecurity, and cross-border data transfer frameworks, including GDPR, CCPA, and APPI.
• Must be eligible to access U.S. export-controlled technology; eligibility may depend on citizenship, permanent residency, or export-license approval.
