Head of Equity Administration

Location: San Mateo, United States; hybrid

Salary: $230,000–$260,000 annually plus equity.

What you will do

• Own the day-to-day and strategic administration of stock options, RSUs, restricted stock, and other equity awards.
• Manage the full equity lifecycle, including grants, vesting, exercises, releases, cancellations, transfers, repurchases, and settlement.
• Build scalable policies, workflows, controls, service standards, reconciliations, and reporting across equity, payroll, HR, accounting, and capitalization systems.
• Lead equity-related IPO-readiness work, including public-company processes, Section 16 workflows, trading-window administration, Rule 10b5-1 plans, and future SOX controls.
• Coordinate global equity compliance, cross-border employee requirements, board and compensation committee approvals, audits, tax, payroll, and financial reporting.
• Build and lead the equity administration function while improving employee and executive communications and support.

Requirements

• 10+ years of progressive experience with substantial direct ownership of equity administration.
• Experience supporting a late-stage private company, public company, IPO process, or major capital-markets transaction.
• Deep knowledge of equity compensation vehicles, including stock options and RSUs, with strong understanding of securities, tax, payroll, accounting, and governance requirements.
• Experience with ASC 718, equity-related reporting and controls, Section 16, Rule 10b5-1 plans, insider-trading controls, and SOX environments.
• Experience with equity administration platforms such as Morgan Stanley at Work/Shareworks, Fidelity, Carta, E*TRADE, Computershare, or similar systems.
• Strong analytical, organizational, executive communication, judgment, discretion, and cross-functional partnership skills.

Nice to have

• CEP designation or a similar equity compensation credential.
• Experience leading equity administration through an IPO or implementing and migrating equity administration platforms.
• Experience launching an ESPP, establishing SOX-compliant processes, or managing equity programs across multiple international jurisdictions.
