Legal Counsel (Technology)

Location: Remote from Ukraine, Poland, Spain, Portugal, or Bulgaria

What you will do

• Draft, review, and negotiate MSAs, SOWs, NDAs, DPAs, software, SaaS, licensing, and vendor agreements.
• Manage negotiations with clients, vendors, and external counsel.
• Identify legal and commercial risks and provide practical solutions and fallback positions.
• Advise internal teams on legal matters across different jurisdictions, with a focus on US and European law.
• Support intellectual property matters involving software ownership, licensing, copyright, and trademarks.
• Handle corporate, compliance, privacy, legal research, and day-to-day legal matters.

Requirements

• Master’s degree in Law.
• 3+ years of relevant legal experience, preferably in an IT or technology company.
• Strong experience drafting and negotiating commercial and technology contracts governed by US law and/or English law.
• Knowledge of liability, indemnities, intellectual property, data protection, information security, and licensing issues.
• Advanced English and Ukrainian required.
• Practical experience using generative AI tools in legal work.

Nice to have

• Understanding of the US tax system.
• Experience in IT services, software development, or outsourcing.
• Experience with privacy, cybersecurity, or AI-related legal matters.
• Experience with ISO 27001, ISO 27701, SOC 2, or NIST frameworks.
• Experience implementing legal-tech or automation tools, including AI-assisted development or vibe coding.
