Regulatory and Compliance, Subscription Document Review - Associate

Location: New York, New York, United States; hybrid schedule with office work Monday–Thursday and remote work on Friday

Salary: $90,000–$115,000 base salary annually

What you will do

• Review, track, and maintain investor subscription materials, including subscription booklets, indexes, and related documentation.
• Verify the completeness and compliance of subscription materials with applicable securities laws and FINRA rules.
• Create and maintain Excel spreadsheets and reports covering subscriptions, deadlines, and transaction data.
• Maintain rules of engagement for fund sponsors and law firm fund formation departments.
• Communicate with investment relations teams about fundraises and investor issues.
• Draft deficiency comments for investor subscription materials.

Requirements

• 1–3 years of experience with alternative investments, preferably private funds and registered investment advisers.
• Experience with fund structuring and formation, including review of governing documents for alternative and registered funds.
• Experience reviewing investor governing documents such as limited liability company agreements and trust agreements.
• Knowledge of the Investment Company Act of 1940 and Securities Act of 1933.
• Strong verbal communication, interpersonal, client-facing professionalism, project management, and process development skills.
• Ability to work in a fast-paced environment with a continuous learning mindset; a JD is a plus.

Nice to have

• Knowledge of AML and KYC regulatory requirements for private fund investors.
• JD degree.
