(Senior) Corporate Counsel (m/f/d) near Venlo

What you will do

• Advise on Dutch and German corporate law, governance, and regulatory compliance.
• Support corporate housekeeping, entity management, and group structuring activities.
• Develop and maintain corporate governance policies, procedures, templates, and legal documentation.
• Prepare annual reporting materials, shareholder communications, and annual general meeting documentation.
• Coordinate managing board and supervisory board materials, corporate calendars, meetings, and follow-up actions.
• Monitor regulatory developments, identify legal risks, and recommend mitigation measures and process improvements.

Requirements

• Academic degree in Law and at least four years of relevant experience in Dutch corporate law and corporate governance.
• Experience in a cross-border or international environment is beneficial.
• Excellent communication and stakeholder management skills.
• High integrity, objectivity, discretion, and confidentiality.
• Proven project management experience implementing new legal and regulatory requirements.
• Fluent English, both written and spoken.
