Contracts Counsel (AdTech)

What you will do

• Draft, review, and negotiate SaaS agreements, data licensing deals, MSAs, SOWs, NDAs, API and platform agreements, and vendor contracts.
• Act as the primary legal contact for Sales and Business Development on contract matters.
• Advise Sales, Finance, Product, and executive stakeholders on contract terms, liability, intellectual property, data privacy, and risk allocation.
• Manage contract execution, renewals, amendments, and tracking through contract lifecycle management tools.
• Develop templates, playbooks, fallback positions, and scalable legal processes.
• Support corporate governance, compliance initiatives, specialized legal matters, and revenue recognition alignment.

Requirements

• Juris Doctor degree and admission to at least one U.S. state bar required.
• 4–7 years of relevant legal experience focused on commercial or technology transactions.
• Experience drafting and negotiating complex technology contracts, including SaaS, data licensing, API, and platform agreements.
• Strong understanding of GDPR, CCPA/CPRA, and the relationship between privacy requirements and commercial agreements.
• Excellent communication, organization, prioritization, and cross-functional collaboration skills.
• Proficiency with contract lifecycle management tools and legal technology platforms.

Nice to have

• Experience in adtech, martech, digital media, or data intelligence.
• Knowledge of programmatic advertising, RTB, supply path optimization, CTV platforms, MRC standards, or IAB frameworks.
• Experience supporting enterprise SaaS sales cycles and revenue-generating teams.
• Exposure to IP licensing, open-source compliance, or AI/ML data use agreements.
