Securities Paralegal

Location: New York, United States; primarily in the office

Salary: $72,000–$90,000 base salary per year, plus eligibility for a bonus.

What you will do

• Draft and file Section 16 Forms 3, 4, and 5 and maintain executive officer equity ownership information.
• Support preparation of the annual proxy statement and coordinate cross-functional audit support.
• Assist with corporate governance matters, including D&O questionnaires, shareholder engagement, and annual meeting preparation.
• Assist with periodic reports under the Securities Exchange Act of 1934, including Forms 10-Q and 10-K.
• Implement reporting, legal entity management, and insider trading policy processes.
• Liaise with the transfer agent and conduct peer benchmarking and legal research.

Requirements

• 3+ years of relevant experience with a major public corporation and/or law firm.
• Knowledge of Securities Exchange Act of 1934 requirements, particularly Section 16.
• Proficiency in Workiva, SharePoint, and Excel.
• General legal research skills, strong organization, and attention to detail.
• Strong communication skills and the ability to coordinate complex tasks with multiple stakeholders.
• Bachelor’s or associate’s degree or a paralegal certificate.
