Mid-Level Capital Markets & Public Companies Paralegal

Location: Silicon Valley or any hirify.global U.S. office; hybrid schedule with three days onsite per week. The schedule is Monday–Friday, 9:00 am–5:30 pm, for 37.5 hours per week.

Salary: $85,000–$133,750 per year, with a discretionary performance-based bonus potentially available.

What you will do

• Support capital markets and public company matters, including IPOs and ongoing public company operations.
• Prepare registration statement numerical backup spreadsheets and manage beneficial ownership tables.
• Oversee Section 16 reporting and compliance under the Securities Exchange Act of 1934.
• Handle Rule 144 matters and legend removal letters.
• Onboard transfer agents, prepare stock exchange applications, and submit FINRA filings.
• Coordinate selling stockholder matters, closing documents, closing volumes, board resolutions, and minutes.

Requirements

• 3+ years of corporate and transactional experience.
• Experience with capital markets, public companies, IPOs, and related securities compliance matters.
• Substantial experience working with Excel spreadsheets.
• Four-year degree and/or paralegal certificate from an ABA-approved program.
• Strong communication, research, organizational, multitasking, and deadline-management skills.
• Experience in a large corporate setting or law firm is preferred.
