What you will do
- Advise the Proxy Board of Directors, CEO, and executive leadership on FOCI mitigation, corporate governance, and legal matters.
- Maintain Board agendas, resolutions, meeting minutes, and governance policies while enforcing operational separation from foreign affiliates and parent entities.
- Oversee federal prime contracts, subcontracts, teaming agreements, and compliance with FAR, DFARS, procurement integrity, OCI, cost accounting, and data-rights requirements.
- Serve as a primary legal contact for DCSA, DoD, and other regulatory bodies alongside the Facility Security Officer.
- Draft, negotiate, and review strategic partnerships, joint ventures, vendor contracts, MSAs, procurement agreements, and supply-chain arrangements.
- Manage corporate legal matters, including employment, intellectual property, NDAs, disputes, and external counsel.
Requirements
- Juris Doctor degree from an accredited U.S. law school and active membership in good standing of a State Bar.
- 10+ years of legal practice, ideally combining top-tier law firm training with in-house defense or federal contracting technology experience.
- Hands-on experience in a FOCI-mitigated environment under a Proxy Agreement or Special Security Agreement.
- Deep knowledge of FAR and DFARS, federal contracting, procurement integrity, OCI mitigation, cost accounting standards, and data rights.
- Active Top Secret security clearance required; SCI eligibility is highly preferred.
- U.S. citizenship required.
