Corporate Counsel

TL;DR

Corporate Counsel: Supporting corporate governance and legal compliance for a fast-growing SaaS business with an accent on subscription/data licensing agreements, board/shareholder resolutions, and cross-border affiliate structuring. Focus on drafting and negotiating complex legal agreements, managing regulatory and filing obligations, and enabling fundraising and incentive-driven ROI improvements.

Location: Hybrid in Mclean, VA

What you will do

• Coordinate preparation and filing of annual financial returns, corporation tax returns, VAT returns, R&D tax credit applications, and service provider utilization disclosures.
• Draft, negotiate, and amend SaaS subscription and data licensing agreements, including material terms and conditions.
• Identify and leverage governmental incentives (e.g., R&D tax credits for emerging growth companies) to improve corporate financial performance.
• Manage incorporation of international affiliates and subsidiaries, including project coordination.
• Draft intercompany agreements and written board resolutions for international entities (e.g., Ireland, Delaware).
• Support fundraising activities, including Series A, venture debt, and convertible notes.

Requirements

• Deep familiarity with SaaS subscription agreements, including user rights, SLAs, and compliance with applicable laws.
• Experience negotiating and structuring intercompany agreements aligned with corporate strategy and legal compliance.
• Knowledge of data protection laws and regulations, including risk assessments and implementation of compliance measures.
• Experience drafting and presenting board resolutions supporting governance and compliance initiatives.
• Strong written and verbal communication skills with effective cross-functional collaboration.
• Legal education required (e.g., LLB/GLD/JD) and 5–7 years of experience in a similar corporate governance role.
