Corporate Counsel (AI)

Location: New York, hybrid. Most positions involve in-office collaboration and are tied to specific locations.

Annual base salary: $250,000–$300,000 USD. Bonus and equity are included in full-time, non-commission offers; compensation may be adjusted for candidates outside the U.S.

What you will do

• Advise the CLO, CEO, executive leadership, and Board on corporate governance, significant corporate decisions, and committee matters.
• Lead legal matters involving capital strategy, equity incentive programs, shareholder rights, financings, and related compliance.
• Drive legal workstreams for M&A, investments, restructurings, and other strategic corporate transactions.
• Partner with finance, tax, and business leadership on international expansion, operating structures, cross-border matters, and scalable legal frameworks.
• Advise on corporate compliance, privacy, export controls, foreign investment, intellectual property ownership, protection, and commercialization.
• Translate complex and novel legal risks into pragmatic, risk-based business options and actionable recommendations.

Requirements

• J.D. from an accredited U.S. law school and active membership in good standing with a U.S. state bar.
• 5–10+ years of corporate legal experience, including substantial experience at an Am Law 100 or equivalent firm; demonstrated capability and commerciality matter more than tenure.
• Deep expertise in corporate governance, capital structures, equity compensation, shareholder matters, financings, M&A, credit facilities, international restructurings, or other strategic transactions.
• Ability to own high-stakes legal matters end-to-end, exercise sound judgment, deliver commercially defensible advice, and drive execution.
• Exceptional commercial acumen and analytical skills, with the ability to navigate competing risks, ambiguity, and fast-moving business priorities.
• Thorough, extremely detail-oriented, and skilled in legal drafting and project management.
• Intellectual curiosity, initiative, ownership, a low-ego collaborative approach, and willingness to balance strategic advice with hands-on execution.

Nice to have

• In-house experience at a high-growth, venture-backed, private equity-backed, or global technology company.
• Familiarity with enterprise AI, SaaS, technology transactions, data licensing, intellectual property, and emerging AI regulatory frameworks.
• Experience advising on cross-border corporate structures and coordinating legal matters across multiple jurisdictions.
