Commercial Counsel (AI)

Location: Remote from anywhere in Brazil; preference for candidates based in Sao Paulo, Brazil.

What you will do

• Draft, review, and negotiate GTM and sales agreements, including enterprise customer contracts, SaaS agreements, licensing arrangements, and strategic partnerships, primarily in Brazil and with support for other LATAM countries.
• Partner with sales, business development, and operations teams on high-growth go-to-market strategies.
• Monitor country-specific developments in data protection, technology, and AI regulation and apply them to contract drafting and risk assessment.
• Develop, maintain, and localize contract templates, playbooks, and policies.
• Provide pragmatic, commercially focused advice on compliance, risk, and responsible growth across multiple jurisdictions.
• Help scale the Legal Team’s commercial function and contribute to a collaborative, solutions-oriented culture.

Requirements

• Law degree and qualification to practice law in Brazil.
• 7+ years of relevant post-qualification legal experience, with in-house experience in technology or SaaS strongly preferred.
• Native-level Portuguese and fluent English.
• Proven experience drafting and negotiating complex commercial and technology agreements.
• Strong knowledge of enterprise software licensing, SaaS, data protection, and intellectual property.
• Experience advising on privacy, cybersecurity, and cross-border data transfer issues.
• Excellent communication, stakeholder management, and problem-solving skills.
• Ability to work independently and collaboratively in fast-paced environments with shifting priorities and tight deadlines.
• Proactive, business-minded approach focused on practical solutions, compliance, and commercial success.
