Securities, Finance and Corporate Governance Attorney

Location: Rosemead, California, United States; hybrid work with required attendance at an SCE facility and residence in California. Relocation may apply.

What you will do

• Provide legal advice on financing, securities, corporate governance, and transactional matters.
• Support capital markets, bank financing, securitization, equity, debt, and credit facility transactions.
• Advise on federal and state securities laws, corporate governance requirements, and regulatory matters.
• Serve as lead or supporting counsel on complex legal matters, including negotiations, contracts, regulatory filings, hearings, and outside counsel management.
• Identify legal, technological, environmental, cybersecurity, and operational risks and develop mitigation strategies with stakeholders.
• Prepare legal memoranda, reports, correspondence, transaction documents, and presentations for senior management.

Requirements

• Juris Doctor degree from an accredited law school.
• At least three years of legal practice experience in a law firm, corporate legal department, or government authority.
• Current membership in good standing with the California State Bar or the ability to become accredited.
• Ability to manage multiple assignments, work under pressure, exercise sound judgment, and communicate effectively with senior management and business stakeholders.
• Must work and reside in California unless otherwise noted; the position uses a hybrid work mode with scheduled attendance at an SCE facility.

Nice to have

• Experience with the Securities Act of 1933 and Securities Exchange Act of 1934.
• Experience with equity, securitized, senior, and subordinated debt securities, bank financing, and revolving or term loan facilities.
• Strong academic credentials and experience drafting, reviewing, and negotiating complex transaction documents.
• Strategic problem-solving ability, business acumen, and experience working with senior management, non-lawyer clients, and outside counsel.
