Managing Legal Counsel – U.S. Registered Funds and ETFs (ETFs)

Location: Owings Mills, Maryland, United States; hybrid schedule with up to one day per week from home.

Base salary: $174,000–$297,000 annually for Maryland, Colorado, Washington, and remote workers. Additional ranges apply to Washington, D.C., New York, and California.

What you will do

• Provide expert legal counsel on the formation, registration, launch, governance, and ongoing maintenance of registered investment products, with a focus on ETFs.
• Advise Product, Investments, Capital Markets, Trading, Distribution, Operations, Compliance, and Risk teams on ETF initiatives and innovative investment structures.
• Interpret the Investment Company Act of 1940, federal securities laws, SEC rules, exchange requirements, and evolving ETF regulations.
• Support exchange listings, capital markets activities, authorized participant arrangements, creation and redemption processes, and related operations.
• Prepare and review registration statements, prospectuses, shareholder communications, board materials, and other regulatory filings.
• Present matters to fund boards, interact with regulators, manage outside counsel, and lead complex cross-functional initiatives.

Requirements

• Juris Doctor degree from an accredited law school.
• Active membership in good standing in at least one U.S. state bar is required.
• At least 10 years of legal experience advising registered investment companies, including significant ETF experience.
• Deep knowledge of the Investment Company Act of 1940 and related federal securities laws.
• Experience advising registered investment companies, asset managers, or financial services organizations on complex legal and regulatory matters.
• Ability to advise senior executives, investment professionals, and business leaders and present to fund boards.

Nice to have

• Experience with ETF launches, fund reorganizations, mutual fund-to-ETF conversions, or other product development initiatives.
• Experience interacting with the SEC, listing exchanges, or other financial regulators.
• Experience leading cross-functional initiatives and managing outside counsel.
• Strong relationship-management, communication, and project-management skills.
