Director, Corporate Counsel - Collaborations & Contracts (Biotech)

Location: Rensselaer, New York; 4.5 days per week on site

Salary: $172,200–$286,900 annually

What you will do

• Provide legal counsel to the manufacturing division on business development, procurement, licensing, collaborations, and strategic transactions.
• Draft, review, and negotiate intellectual property licenses, collaboration agreements, material transfer agreements, sponsored research agreements, confidentiality agreements, and consulting agreements.
• Support mergers, acquisitions, licensing deals, technology transfers, manufacturing agreements, and supply-related due diligence.
• Advise management and internal scientific and business leaders on contractual obligations, regulations, company policy, and corporate and commercial law.
• Partner with intellectual property, regulatory, quality, compliance, M&A, and transactions teams on legal and operational matters.
• Coordinate outside counsel and provide proactive legal support as an embedded member of the manufacturing law group.

Requirements

• BA/BS and JD with excellent law school credentials.
• Minimum of 8–12 years of relevant experience.
• Active New York bar membership or eligibility for licensure as registered in-house counsel.
• Experience with technology and intellectual property licensing, agreement drafting, and transactional documents.
• Experience with corporate, privacy, and regulatory matters in biotechnology or pharmaceuticals, including GMP-related environments.
• Experience supporting M&A or transactions teams on manufacturing or supply chain matters.
