Chief Legal Officer (Fintech)

Chief Legal Officer (CLO)

We are looking for a Chief Legal Officer who will take ownership of the company’s key legal, regulatory, and risk management matters.

The initial plan is to hire this person full-time. We may also consider starting with a part-time format or working together on real projects as part of the selection process.

What You Will Do

Commercial Law & Contracts

• Own the company’s commercial legal work and contract matters.
• Work with client agreements, Terms, and specialized agreements.
• Handle payment agreements.
• Work with agreements with banking partners and providers.
• Lead commercial negotiations and take agreements through to completion.
• Make decisions during negotiations and communicate directly with counterparties.
• Independently review, edit, and rewrite agreements to protect the company.
• Work with complex agreements, including agreements involving significant liabilities and multi-jurisdictional matters.

Regulatory & Financial Licenses

• Independently research new jurisdictions from scratch: study applicable laws and requirements and build an understanding of how financial services work in that country.
• Participate in obtaining financial licenses across different jurisdictions e.g. Africa, UK, NL.
• Dive deeply into new jurisdictions and build a strong understanding of the market, using local lawyers where necessary.
• Support the company’s international expansion.

Data Protection & IP

• Work with data protection matters.
• Understand and work with GDPR.
• Work with intellectual property matters.
• Have practical experience with these areas.

Corporate Law

• Work with corporate law and corporate transactions.
• Have experience with documents such as SPAs / Share Purchase Agreements.
• Ensure proper legal documentation and coverage of corporate processes.

Legal Documentation & Attention to Detail

• Quickly navigate large volumes of legal documentation.
• Identify inconsistencies, gaps, and risks in documents.
• Review the relationships between documents, definitions, appendices, references, and calculations.
• Draw conclusions from legal analysis and explain them to others.
• Make the necessary amendments to company documentation.
• Be comfortable with drafting.

Risk Management

• Build overall risk management into company processes.
• Maintain control over processes from a compliance and risk perspective.

Execution & Ownership

We are looking for someone who combines research and execution.

What We Are Looking For

• Strong experience in commercial law, commercial negotiations.
• Experience with complex agreements.
• Experience with multi-jurisdictional agreements.
• Practical experience with financial regulation.
• Experience in fintech is a strong plus.

Experience in logistics can also be relevant.

Regulatory Experience

• Practical experience with financial regulation.
• Experience obtaining financial licenses is a strong plus.

Legal Background

• Experience as an associate at a strong / reputable law firm early in your career.
• Around 3 years of corporate law experience.
• Experience with corporate transactions and drafting.
