Corporate Paralegal - Fund Finance

Location: Century City, Dallas, Denver, Houston, Los Angeles, Orange County, Palo Alto, San Francisco, New York City, or Washington, D.C., United States

Salary: $100,000–$130,000 annual compensation

What you will do

• Manage closing checklists, working group lists, signature pages, deliverables, and transaction status across multiple concurrent fund financing matters.
• Coordinate lender KYC/AML, conditions precedent, searches, lien clearance, certificates, and formation documents across U.S. and offshore jurisdictions.
• Review fund organizational documents and maintain structure charts for subscription and NAV facilities.
• Prepare and file UCC-1 financing statements, UCC-3 amendments, assignments, and terminations, including collateral descriptions.
• Prepare ancillary transaction documents, execution packages, closing binders, data rooms, and deal files using tools including iManage Closing Folders and DocuSign.
• Track post-closing deadlines, collateral and deliverable requirements, notarization and apostillization, and maintain precedent libraries.

Requirements

• Working knowledge of secured lending documentation, including credit agreements, security agreements, guarantees, and UCC perfection mechanics.
• Ability to read fund organizational documents and identify provisions relevant to subscription and NAV facilities.
• Strong analytical, written, verbal, organizational, communication, and interpersonal skills.
• Ability to manage a high volume of concurrent transactions, work independently and collaboratively, multitask, and meet tight deadlines.
• 5+ years of relevant experience preferred, ideally in secured lending, fund finance, or banking and finance transactional support at an Am Law 100 firm.
• Bachelor’s degree preferred or equivalent education and substantive paralegal experience; applicable state requirements, certifications, or qualifications must be met.

Nice to have

• Familiarity with fund finance, subscription/capital call facilities, or NAV facilities.
• Notary qualification.
• Experience using AI tools such as Harvey for document review and diligence matrices.
