Principal Legal Counsel - Corporate Law (m/f/d)

Location: Hybrid work model; the role is office-first, with flexibility to balance office and remote work. Temporary work from another location may be available for up to 60 days per year, depending on the role.

What you will do

• Implement and further develop group-wide corporate governance, including rules of procedure, signature regulations, powers of attorney, and approval frameworks.
• Maintain cap table management and equity governance while coordinating with Finance, Tax, and People functions.
• Coordinate shareholder and committee activities, including meetings, minutes, written resolutions, and director or managing director changes.
• Draft, review, and negotiate complex loan and credit agreements, including RCFs, term loans, and syndicated loans.
• Manage the full financing lifecycle, including amendments, refinancings, extensions, reporting undertakings, and reorganization or M&A consequences.

Requirements

• Fully German-qualified lawyer.
• 8+ years of professional experience in corporate and financing law.
• Practical experience drafting or negotiating shareholder agreements, guarantees, security documents, and intercreditor structures.
• Business-fluent German and English required.
• Strong analytical, communication, and negotiation skills, including communication at C-level.
• Ability to manage multiple workstreams and identify governance risks and solutions.
