About the Role

You will work closely with the General Counsel to identify and navigate potential legal and regulatory challenges, and develop internal processes across product, business development, finance, human resources, operations, and compliance. You'll draft and negotiate a wide range of legal contracts, help build internal templates and manage the legal documentation database, and collaborate with cross-functional partners on legal implications across strategy, product, finance, commercial partnerships, and compliance. You'll also manage corporate affairs and filings, oversee the company's share option and token pool strategy, monitor regulatory developments, conduct legal research, and help draft regulatory responses, all while working closely with the operations team and external counsel and policy groups.

Requirements

• JD, LLB or equivalent and 5+ years of UK or US qualified legal experience in a global law firm or substantial in-house, preferably in crypto, technology, or fintech
• Strong knowledge of regulatory and legal frameworks relevant to web3 including US and global financial market regulations, securities laws, and IP and open-source development law
• Proven problem-solving, communication and interpersonal skills and the ability to work independently in a fast-paced, remote and global team
• Deep understanding of, or passion for, crypto and privacy

Responsibilities

• Draft and negotiate all types of varied legal contracts, including code audit review agreements and advisor engagement agreements
• Assist in developing and maintaining policies and procedures to ensure compliance with applicable laws, regulations, and industry best practices
• Build and improve internal contract templates and manage the company's legal documentation database
• Collaborate with cross-functional partners on legal implications across strategy, product development, financial matters, commercial partnerships, corporate matters, internal policies, compliance, IP, and negotiations
• Manage the company's internal corporate affairs and filings, including the board process and preparing resolutions and minutes
• Manage the legal aspects of the company's share option and token pool strategy
• Conduct horizon scanning of regulatory developments
• Conduct legal research and analysis and attend policy meeting updates to stay abreast of regulatory and legal trends
• Assist in drafting regulatory responses to consultations to help shape policy
• Manage relationships with external counsel, policy groups, and the broader Aztec ecosystem
