Head of Legal (Nonprofit)

Location: Onsite in Almaty, Kazakhstan

What you will do

• Build and lead the legal function for international nonprofit, holding, and operational entities.
• Provide legal support for educational, cultural, environmental, sports, philanthropic, and other social impact initiatives across jurisdictions.
• Lead entity registration, restructuring, corporate governance, cross-border contracting, and coordination with external counsel.
• Manage the legal separation and migration of projects, including contracts, intellectual property, personal data, websites, digital assets, and operational obligations.
• Draft and negotiate donation, grant, sponsorship, service, partnership, licensing, vendor, NDA, and transition agreements.
• Monitor regulatory developments and oversee legal risk management, KYC, AML, sanctions screening, and third-party due diligence.

Requirements

• Law degree from a recognized university.
• At least 8 years of professional legal experience.
• Experience with international legal projects, nonprofit organizations, charitable initiatives, corporate governance, cross-border contracting, and legal risk management.
• Strong expertise in contract drafting and negotiation, legal structuring, nonprofit regulation, and risk assessment.
• Professional fluency in written and spoken English.
• Strong judgment, stakeholder management, communication, negotiation, and project management skills.

Nice to have

• Experience with carve-outs, spin-offs, reorganizations, or transfers of projects, assets, contracts, IP, and operational obligations.
• Experience establishing legal structures across European and emerging markets.
• Knowledge of Kazakhstan law or experience with Kazakhstan-based nonprofit organizations.
• Additional languages, especially Russian or Spanish.
