Director and Senior Legal Counsel – Securities and Corporate Finance

Location: Irvine, California, United States; onsite at the Irvine office

Salary: $206,600–$275,400 per year

What you will do

• Provide legal support to treasury and finance functions, including large financing transactions and day-to-day activities.
• Evaluate, advise on, and handle debt, equity, bank, sale-and-leaseback, and other structured financing transactions.
• Review and negotiate documentation for factoring, hedging, and other treasury activities.
• Prepare and review securities filings, including periodic and current reports, proxy statements, registration statements, Form SD, and Section 16 filings.
• Draft and review Board of Directors and committee materials covering financial reviews, corporate governance, and strategic transactions.
• Support subsidiary management, legal entity restructuring, regulatory compliance, and relationships with finance, tax, treasury, investor relations, and stock plan teams.

Requirements

• J.D. degree from an accredited law school.
• Current membership in the California bar or another acceptable jurisdiction, in good standing.
• 8+ years of experience at a national law firm, in-house, or a combination of both.
• Experience with capital markets, financing transactions, securities laws, corporate governance, and publicly traded companies.
• Ability to draft, review, and analyze transaction documentation and provide practical, business-focused legal advice.
• Ability to manage multiple projects independently, communicate clearly, work under deadline pressure, and manage outside counsel globally.
