TL;DR
Senior Counsel (Software Licensing): Drafting and negotiating commercial contracts for data, software, SaaS, PaaS, and IaaS products with an accent on EMEA and US agreements, licensing, and cross-functional risk management. Focus on interpreting contractual rights and obligations, advising sales and product teams, and managing negotiations with international counterparties.

Location: Sofia, Bulgaria. Candidates must be eligible to work in Bulgaria as EU/EEA/Swiss nationals or holders of a valid Bulgarian work and residence permit.

What you will do

  • Draft and negotiate client license agreements, vendor agreements, NDAs, and other commercial contracts covering data, software, SaaS, PaaS, and IaaS.
  • Handle contracts governed by EMEA and US law and negotiate with international counterparties by email and conference calls.
  • Manage the contract lifecycle from drafting through negotiation and execution.
  • Interpret agreements and advise product development, sales, and finance teams on contractual rights and obligations.
  • Collaborate with Finance, Marketing, Information Security, Compliance, Human Resources, and the global Legal team on risk management and compliance.
  • Support the global sales organization with contract customization, contracting guidance, and preparation of legal documents.

Requirements

  • At least 10 years of experience as a licensed, practicing lawyer with commercial and corporate law experience.
  • Law degree from a reputable, accredited institution.
  • Fluency in English, written and spoken, is required.
  • Eligibility to work in Bulgaria is required: EU/EEA/Swiss nationality or a valid Bulgarian work and residence permit.
  • Strong communication, collaboration, judgment, multitasking, prioritization, attention to detail, and time-management skills.
  • Ability to quickly develop expertise in new legal fields and provide timely, accountable support to internal and external clients.

Nice to have

  • Experience in mergers and acquisitions, financing, software licensing, intellectual property, or technology law.
