Corporate Legal Counsel (Europe) (renewable energy): Leading complex commercial contracting, corporate governance, and legal integration of acquired businesses across European and international matters with an accent on cross-border B2B agreements, entity governance, and M&A integration. What you will do
- Lead the drafting, review, and negotiation of domestic and cross-border supply, procurement, services, framework, and other strategic B2B agreements.
- Advise senior management and business stakeholders on contractual risk, commercial strategy, complex legal matters, and dispute resolution.
- Provide corporate legal support for European entities, including governance compliance, approvals, board and shareholder meetings, powers of attorney, entity records, and filings.
- Drive the legal integration of acquired businesses into governance frameworks, policies, and decision-making processes.
- Support European and international M&A, restructurings, entity simplification, employment, compliance, IP, and patent-related matters.
- Coordinate with the global Legal team, internal stakeholders, notaries, and specialist external counsel.
Requirements
- Qualified lawyer with more than 8 years of relevant post-qualification experience.
- Strong experience in commercial contracts and corporate law from a reputable law firm, international in-house legal team, or both.
- Ability to independently lead material contract negotiations and advise senior business stakeholders pragmatically.
- Practical knowledge of entity governance, corporate approvals, commercial-register matters, and coordination with notaries and external counsel.
- Fluent German, English, and Spanish required, including confident drafting, negotiation, and legal advice.
- Experience working across jurisdictions and specialist functions in an international or matrixed organization.
Nice to have
- In-house experience in renewable energy, industrial, engineering, infrastructure, manufacturing, or technology-driven businesses.
- Experience with post-acquisition integration, corporate reorganizations, or harmonization of governance and legal processes.
- Experience supporting cross-border supply chains, complex B2B projects, or procurement-intensive operations.
- Exposure to disputes, employment, compliance, IP, or patent matters.
