Attorney / Corporate Counsel (Commercial Contracts, Compliance & Governance)

Location: Remote from Mexico, Colombia, or Brazil; U.S. client business hours required

hirify.global is hiring for a client seeking business-focused legal counsel across contracts, compliance, governance, and risk management.

What you will do

• Draft, review, revise, and negotiate NDAs, MSAs, service agreements, vendor agreements, employment agreements, leases, and other commercial contracts.
• Identify contractual and regulatory risks and recommend practical mitigation strategies aligned with business objectives.
• Advise leadership and internal stakeholders through legal research, memoranda, and actionable guidance.
• Prepare corporate resolutions, operating agreements, governance documents, filings, and organized corporate records.
• Support compliance matters involving employment law, data privacy, GDPR, HIPAA, FTC requirements, SOX, and industry-specific regulations.
• Coordinate litigation support, outside counsel, legal operations, contract workflows, matter tracking, and audit-ready documentation.

Requirements

• Juris Doctor or equivalent law degree.
• Active bar admission in at least one U.S. jurisdiction and existing authorization to practice U.S. law.
• At least 3 years of legal practice experience in a law firm, corporate legal department, or similar environment.
• Demonstrated experience drafting, reviewing, and negotiating commercial agreements.
• Experience providing legal and compliance guidance, with strong legal research, analytical, written, and verbal English skills.
• Ability to work during U.S. client business hours. Strong confidentiality, ethics, discretion, organization, and independent matter management are required.

Nice to have

• Prior in-house counsel experience or multi-jurisdictional and international legal exposure.
• Experience in corporate law, employment law, SaaS or technology, regulatory compliance, real estate, or commercial transactions.
• Experience supporting startups or high-growth businesses.
• Familiarity with legal operations and contract management systems.
