TL;DR
Senior Legal Counsel (Industrial Gases): Providing comprehensive legal and compliance support for industrial gases, chemicals, electronics, steel, and petrochemical operations across China and Asia with an accent on commercial contracts, M&A, joint ventures, disputes, and regulatory matters. Focus on managing complex negotiations, strengthening contract risk management, overseeing external counsel, and implementing anti-bribery, competition law, and compliance programmes.

Location: Shanghai, China; full-time on-site role

What you will do

  • Provide hands-on legal and compliance support for operations across Asia, with a primary focus on China.
  • Advise on commercial contracts, corporate and M&A matters, joint ventures, litigation, arbitration, regulatory issues, employment, and risk management.
  • Draft, negotiate, and review contracts and internal policies, including standard forms and business templates.
  • Lead or participate in negotiations with customers, suppliers, authorities, and joint-venture partners.
  • Manage external legal counsel, legal spend, multi-jurisdictional advice, disputes, and risk mitigation.
  • Deliver legal, compliance, and risk training and develop a knowledge and precedent database for China and Asia.

Requirements

  • Qualified lawyer with substantial in-house or private-practice experience in China and Asia.
  • Experience handling complex commercial, corporate, M&A, joint-venture, litigation or arbitration, regulatory, employment, and compliance matters.
  • Ability to provide practical, timely legal and commercial advice to senior management and stakeholders across cultures.
  • Strong contract and policy drafting, negotiation, and review skills in Chinese and English.
  • Fluency in written and spoken English and Mandarin Chinese is essential.
  • Ability to work independently with minimal supervision, collaborate across teams, and travel when required.

Nice to have

  • Experience in industrial gases, chemicals, or similar industries.
  • Fluency in another Asian language.
