Senior Legal Counsel - M&A and Finance (Renewable Energy)

What you will do

• Lead legal workstreams for domestic and cross-border M&A transactions and joint ventures.
• Advise on transaction structures, deal terms, legal and commercial risks, governance, liability, and strategic considerations.
• Draft, review, and negotiate term sheets, transaction documents, shareholder arrangements, guarantees, and related instruments.
• Coordinate external counsel and manage conditions precedent, signing, closing, corporate approvals, and shareholder matters.
• Advise on group financing, credit facilities, financial covenants, refinancing, waivers, consents, security arrangements, and bonding facilities.
• Work with Tax, Accounting, Treasury, management, financing parties, joint venture partners, and international advisers.

Requirements

• Fully qualified lawyer admitted in Germany (Volljurist/in) or holding an equivalent international legal qualification.
• Typically 5+ years of relevant experience focused on corporate law, M&A, and financing.
• Strong experience with cross-border M&A transactions, joint ventures, and group financing matters.
• Experience with credit facilities, financing and security documentation, and bonding or guarantee facilities is advantageous.
• Fluent business English and required German language skills.
• Strong drafting, negotiation, analytical, communication, and commercially minded advisory skills.

Nice to have

• Experience in renewable energy, infrastructure, or the energy sector.
• Knowledge of corporate law and governance requirements across multiple European jurisdictions.
