TL;DR
Corporate Governance Counsel (Fintech): Leading the legal implementation of Luxembourg's internal governance and central administration framework while managing boards, committees, and shareholder meetings with an accent on regulatory compliance, corporate substance, and complex governance structures. Focus on drafting board resolutions and minutes, advising senior stakeholders, and designing governance upgrades that balance regulatory requirements with business agility.
Location: Luxembourg, Luxembourg; hybrid schedule with three days per week in-office on Tuesday, Thursday, and one additional day of choice.

What you will do
- Lead the legal implementation of the internal governance and central administration framework under Circular CSSF 26/906.
- Support corporate bodies in maintaining legally sound decision-making processes and administrative centers.
- Manage the Board of Directors, relevant committees, and Shareholders' meetings.
- Draft complex minutes and resolutions and advise on corporate legal strategy.
- Identify governance improvements and advise on organizational design from a regulatory perspective.
Requirements
- Lawyer with 7–10 years of experience in top-tier Luxembourg or international law firms.
- Deep understanding of the Luxembourg regulatory landscape.
- Proven experience managing complex corporate governance structures.
- Experience balancing regulatory requirements, business agility, and risk management.
- Confident communication with senior management, the Board of Directors, and external stakeholders.
- Fluent English required.
Nice to have
- Significant in-house experience in regulated fintech, banking, or insurance companies.
- Knowledge of French or Italian.
