Location: Remote and available from anywhere, with a preference for candidates in Canada, the US, the UK, the EU, or Switzerland.

What you will do

• Draft, review, and manage corporate documents, governance instruments, NDAs, MOUs, term sheets, and shareholder agreements.
• Prepare transactional documentation for fundraising, token sales, SAFTs, IP licensing, and IP-NFT frameworks.
• Coordinate patent prosecution, trademark filings, IP assignments, and research collaboration agreements across multiple jurisdictions.
• Support litigation and dispute resolution, including discovery, pleadings, deposition summaries, privilege logs, and case chronologies.
• Operate and quality-review AI tools for legal drafting, research, summarization, and compliance screening.
• Monitor regulatory developments involving the SEC, FINMA, MiCA, Canadian securities regulators, KYC/AML, GDPR, and digital assets.

Requirements

• Hands-on experience using LLMs for legal drafting, research, or document analysis, including operating Human-in-the-Loop review workflows.
• Paralegal diploma, certificate, or degree from an accredited institution and 3+ years of corporate, transactional, or litigation experience.
• Current paralegal license, such as an LSO or equivalent provincial or state license.
• Ability to work across US, Canadian, Swiss, and EU legal systems, or to develop this capability quickly.
• Strong organization, independent ownership, and ability to manage concurrent matters in a distributed startup.
• Canadian candidates must provide their paralegal license number or equivalent provincial status.

Nice to have

• Experience with venture capital transactions, SAFTs, SAFEs, convertible notes, or startup fundraising legal operations.
• Familiarity with blockchain, DeFi, digital asset regulation, or DeSci ecosystems.
• Background in IP licensing, patent prosecution support, or biotech research collaboration agreements.
• Bachelor’s degree in law, science, business, or a related field.
