TL;DR

Senior Counsel, Commercial (Commercial Legal): Provide pragmatic legal advice to support global sales and customer/channel transactions with an accent on drafting and negotiating SaaS/BaaS and software agreements, NDAs, and managing material legal, regulatory, privacy, and commercial risks. Focus on complex customer negotiations, proactive dispute/delay prevention, and improving contract templates, negotiation playbooks, and legal training.

Location: Remote (United States)

Salary: $151,500 — $388,100 USD (TTC/OTE depending on plan)

What you will do

  • Partner with Sales, Deal Desk, Revenue Operations, and other stakeholders to support customer and channel transactions.
  • Review, draft, and negotiate commercial agreements, including SaaS, BaaS, software, professional services, channel agreements (aggregator/reseller/GSI), and NDAs.
  • Advise on legal, regulatory, privacy, and commercial risks; support compliance requirements, data protection obligations, and internal approval processes.
  • Develop defensible solutions for complex contractual and commercial issues, balancing risk and determining when escalation is required.
  • Anticipate contractual, legal, and operational issues to reduce dispute and delay risk.
  • Improve contract templates, negotiation playbooks, and legal processes; deliver training and awareness on contracting best practices and legal risks.

Requirements

  • Location: Must be based in the United States
  • Qualified lawyer with 10–15+ years post-qualification experience from a leading law firm and/or in-house legal, including significant in-house experience.
  • Strong commercial contracts background, ideally in a software/SaaS/cloud technology or broader technology company.
  • Excellent drafting, contract review, and negotiation skills for complex customer and partner agreements.
  • Experience advising business stakeholders in a practical, succinct, commercially focused manner.
  • Experience advising on privacy and data protection in commercial technology transactions (processing, transfer, storage, and protection of data).
