What you will do

• Manage Nasdaq listing compliance and SEC reporting obligations, including disclosure controls and corporate governance.
• Advise on equity and debt capital markets transactions, including public/private offerings and convertible securities.
• Lead M&A, joint ventures, strategic investments, and corporate reorganizations from due diligence to integration.
• Support project and infrastructure financing for data center projects, negotiating facility and security agreements.
• Provide legal guidance to finance, treasury, and business teams on securities laws and cross-border transaction structuring.

Requirements

• Law degree (LL.B., J.D., or equivalent) from an accredited law school.
• 8+ years of post-qualification legal experience, ideally combining a top law firm/investment bank and in-house experience.
• Strong hands-on experience in capital markets, corporate finance, and M&A transactions.
• Working knowledge of US securities laws and SEC reporting requirements.
• Admission to the Singapore Bar or another relevant common law jurisdiction (e.g., New York or England and Wales).
• Strong commercial judgment and excellent legal drafting skills.
