What you will do

• Draft, review, and negotiate various commercial contracts, including SaaS subscription, master service, professional services, and confidentiality agreements.
• Partner with sales, product, procurement, and compliance teams to facilitate transactions while managing legal risk.
• Advise on contract interpretation and dispute resolution, ensuring compliance with legal and regulatory requirements.
• Develop and improve contract templates, playbooks, and negotiation guidelines to streamline the contracting process.
• Monitor and analyze legal developments in commercial contracting and SaaS delivery models, providing practical guidance.
• Collaborate with outside counsel as needed.

Requirements

• Juris Doctor (J.D.) from an accredited law school and admission to at least one U.S. state bar.
• Minimum of 5 years post-law school experience, including at least 3 years directly focused on drafting and negotiating commercial agreements.
• Strong knowledge of contract law and commercial transactions; experience with SaaS agreements highly preferred.
• Familiarity with intellectual property issues in technology licensing and services agreements.
• Excellent drafting, analytical, and communication skills, balancing legal and business considerations.
• Detail-oriented, organized, and able to manage multiple projects with competing priorities.

Nice to have

• Exposure to regulatory issues under the Investment Advisers Act of 1940 and the Securities Exchange Act of 1934.
• Experience working with or advising financial services, fintech, or investment advisory businesses.
• Ability to work both independently and collaboratively in a team-oriented environment.
