Location: Expected to work from the San Francisco office at least 3 days a week, with a preference for US-based candidates due to US state bar requirement.

Salary: $320,000 - $385,000 USD (Annual)

What you will do

• Lead all aspects of M&A transactions, from due diligence to post-closing integration.
• Draft, review, and negotiate transaction documents including letters of intent, term sheets, and purchase agreements.
• Manage due diligence processes, overseeing cross-functional workstreams and third-party advisors.
• Provide strategic counsel on deal structuring, risk allocation, and transaction terms.
• Prepare and present materials on transaction matters to the Board of Directors and executive leadership.
• Support general corporate matters, including securities compliance and corporate governance.

Requirements

• JD from an accredited law school and active membership in at least one U.S. state bar.
• At least 10-12 years of M&A legal experience at a nationally recognized law firm or in-house technology company.
• Deep understanding of M&A transaction structures (stock, asset purchases, mergers, investments, joint ventures).
• Experience with both domestic and cross-border transactions.
• Proven ability to thrive in a fast-paced, dynamic environment, managing multiple transactions simultaneously.
• Exceptional analytical, drafting, negotiation, and communication skills.

Nice to have

• In-house M&A experience at a technology company.
• Experience with public company securities law compliance and SEC reporting.
• Experience with equity compensation administration.
• Experience with AI, machine learning, or other emerging technology companies.
• Strong presentation skills, translating legal jargon for business stakeholders.
