Senior Fund Formation Paralegal

Location: San Francisco, United States

Salary: $55.00–$85.00 per hour, or $114,400.00–$176,800.00 annually.

What you will do

• Provide paralegal support to attorneys and senior paralegals on emerging company and venture fund matters.
• Prepare and maintain organizational documents, partnership and limited liability company agreements, side letters, transfer agreements, admission agreements, and amendments.
• Conduct investor suitability and document due diligence reviews, including preparation of opinions and supporting materials.
• Research federal and state securities regulations and prepare and file required notices.
• Handle SEC compliance reporting for venture fund clients regarding public company stock portfolios.
• Submit time sheets and e-time logs and complete other administrative duties as assigned.

Requirements

• Minimum of 5 years of paralegal experience, preferably in Fund Formation.
• Bachelor’s Degree.
• Availability to work overtime as required.
• After orientation at hirify.global LLP, proficiency in the Microsoft Office suite, iManage, and other firm applications.
• Ability to bill a minimum of 1,600 hours annually.
• Ability to work independently and as part of a team in a fast-paced environment serving multiple supervisors.
• Ability to meet deadlines, remain flexible with work assignments and schedules, organize and prioritize work, and delegate tasks to service departments when necessary.
• Excellent written, communication, and proofreading skills with attention to detail; ability to work well with clients and under pressure.
• Initiative, diplomacy, tact, reliability, commitment, and punctuality.
