National Legal Specialist for Emission Reductions Purchase Agreement (ERPA) (Carbon Transactions)

Location: Hanoi, Viet Nam; candidates must be Vietnamese nationals or residents with a valid Vietnamese work permit. Availability is required for online and in-person meetings according to the buyer’s time zones and negotiation schedule.

What you will do

• Conduct a comprehensive legal review of the draft ERPA and all associated annexes.
• Assess payment, default, remedies, liability, indemnification, governing law, arbitration, and dispute-resolution provisions.
• Analyze emission-reduction ownership and transfer rights, Vietnamese authorization requirements, corresponding adjustments, benefit sharing, and double-claiming risks.
• Prepare a legal review report with risk assessments and mitigation recommendations.
• Draft proposed amendments, alternative contractual language, legal arguments, opinions, and briefing materials.
• Support hirify.global and government counterparts with legal analyses and documentation during ERPA negotiations.

Requirements

• Bachelor’s degree in law, particularly international commercial law, international arbitration, environmental law, or climate law.
• At least 8 years of relevant experience in legal analysis, research, and review of international commercial agreements and legal frameworks.
• Working knowledge of English and Vietnamese; excellent legal English is required for direct negotiations and contractual drafting.
• Experience with agreements governed by foreign laws, particularly New York law or English law.
• Experience with international arbitration provisions, including ICC, VIAC, or equivalent mechanisms, and strong knowledge of relevant Vietnamese legislation.
• Vietnamese nationality or residence in Viet Nam with a valid work permit.

Nice to have

• Master’s or PhD in Law.
• Valid Vietnamese legal-practice licence or professional legal qualification in another jurisdiction.
• Experience participating in international negotiations with foreign counterparties and legal counsel.
